General Terms and Conditions

1. Scope

These terms apply to all sales of artworks, editions, books and other items by Petra Gut Contemporary AG, Nüschelerstrasse 31, 8001 Zürich, Switzerland ("PGC", "we"), whether concluded through petragut.com, by email, by telephone, at an art fair or in our galleries in Zürich and St. Moritz. They apply to private buyers and to businesses. Terms of the buyer that differ from these do not apply unless we accept them in writing.

2. Offers and prices

Prices on petragut.com and in our quotes are in Swiss francs (CHF) and include Swiss VAT at the current rate (8.1%). For buyers outside Switzerland we can invoice without Swiss VAT as an export; import duties, VAT and fees in the destination country are borne by the buyer (section 6). Prices in EUR, USD or GBP are converted at our rate on the day of the quote and are fixed in the written quote.

Prices are for the unframed work unless the listing or quote says otherwise. Framing is quoted separately per work. Shipping and insurance are charged in addition unless the quote states "delivered".

Listings on the website are an invitation to inquire, not a binding offer. Availability of editions can change between an inquiry and our confirmation. A quote or reservation we issue is valid for 14 days unless it states another period.

3. Conclusion of the contract

A contract is concluded when we confirm your order in writing (email or invoice) or when we hand over the work against payment in the gallery. Orders placed through the website checkout are accepted when we send the order confirmation; the automatic acknowledgement of receipt is not yet an acceptance. We may decline an order, for example if the edition has sold out in the meantime or if payment cannot be verified.

4. Payment

Invoices are payable within 10 days of the invoice date, without deduction, by bank transfer to the account stated on the invoice or by the card and payment methods offered at checkout. Works are delivered or released for collection only after the full amount has been received. If payment is late, we may cancel the reservation and offer the work to other buyers; a reminder fee and statutory default interest of 5% per year may be charged.

For works produced to order (including framing) we may require a deposit of 50% before production starts; the deposit is not refundable once production has begun.

5. Retention of title

The work remains our property until the price has been paid in full, including any shipping and framing charges. Until then, the buyer may not sell, pledge or otherwise dispose of the work, and must keep it insured and free from third-party claims.

6. Delivery, shipping and risk

We ship worldwide with specialised art carriers or, for smaller works, with insured courier services. Shipping and insurance costs depend on size, destination and framing and are stated in the quote or at checkout. Works can also be collected from our Zürich gallery by appointment.

Delivery dates are estimates unless we confirm a date in writing. Works in stock are dispatched within 10 working days of payment; works produced to order or framed take the production time stated in the quote, typically 4–8 weeks.

The buyer is responsible for import duties, import VAT, customs clearance fees and any permits required in the destination country, and for providing correct delivery and customs details. Risk of loss or damage passes to the buyer on delivery to the agreed address, or on collection.

7. Transport damage

Please inspect the packaging on arrival and note any visible damage on the carrier's delivery record. Damage to the work must be reported to us within 3 working days of delivery, with photographs of the packaging and the work, and the work and packaging must be kept until we or the insurer have inspected them. Later claims for transport damage cannot be accepted, because the transport insurance requires prompt notice.

8. Editions, signatures and certificates

Our photographic works are limited editions. The edition size, print number, signature (on the print or on the certificate, as stated in the listing) and a certificate of authenticity are part of the sale. Each work is documented in our edition register. Image and sheet sizes are stated in centimetres and may vary by up to 2% from the listing, as is normal for handmade prints. Colours on screens differ from the print; the print, not the screen image, is the reference.

A work bought as part of an edition may not be presented or resold as unique. The certificate is issued once; a replacement can be issued only after verification and against a fee.

9. Right of withdrawal and returns

Under Swiss law there is no right to withdraw from a purchase concluded online, by email or in the gallery. Works produced or framed to the buyer's specification cannot be returned in any case. Where mandatory consumer-protection law of the buyer's country of residence grants a withdrawal right (for example 14 days for consumers in the EU or UK), that right applies to the extent the law requires; the buyer bears the cost and risk of the return shipment, the work must arrive in its original condition and packaging, and the refund is made after inspection.

Outside these cases we may, at our discretion, accept a return or exchange within 14 days of delivery for works in original condition, against a credit for another work.

10. Warranty

We warrant that each work is authentic, as described in the listing and certificate, and free from defects at the time of delivery. Defects must be reported in writing promptly after discovery. The warranty period is 2 years from delivery. If a work is defective, we will at our choice repair it, replace it with an equivalent print from the same edition if available, or take it back against a refund. Normal ageing, effects of light, humidity or improper handling, and minor variations inherent in handmade prints are not defects.

11. Liability

We are liable without limit for damage caused intentionally or by gross negligence, and for personal injury. For all other damage our liability is limited to the price paid for the work concerned. We are not liable for indirect damage, loss of profit, or damage caused by carriers, framers or other third parties acting on the buyer's instructions. Mandatory statutory liability is unaffected.

12. Copyright and images

The copyright in every work remains with the artist. Buying a work does not transfer any right to reproduce, publish, exhibit commercially or create derivative works from it. Images and texts on petragut.com are protected and may not be copied or used without our written permission, except for private, non-commercial viewing.

13. Export, cultural property and sanctions

The buyer is responsible for obtaining any export or import permit required for the work in the countries concerned and for complying with cultural-property and sanctions rules that apply to the buyer. We will provide the documents reasonably needed (invoice, certificate, customs description). We do not sell to persons or countries subject to Swiss, EU, UK or US sanctions.

14. Data protection

We process personal data as described in our Privacy Policy.

15. Governing law and jurisdiction

These terms and every contract between the buyer and PGC are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Zürich, Switzerland. Consumers may also bring claims before the courts of their place of residence where mandatory law so provides.

If a provision of these terms is invalid, the rest remains in force. The English version prevails over any translation.
